1. ACCEPTANCE OF TERMS

By accessing or using the services provided by AUREXA 9 Limited ("AUREXA 9", "we", "us", or "our"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.

2. SERVICES

AUREXA 9 provides artificial intelligence consulting, development, and implementation services including but not limited to AI strategy, machine learning solutions, generative AI, natural language processing, computer vision, and related technologies. Services are provided subject to the terms of individual service agreements.

3. INTELLECTUAL PROPERTY

Client IP: You retain all rights to your pre-existing intellectual property, data, and confidential information.

AUREXA 9 IP: We retain all rights to our pre-existing intellectual property, methodologies, frameworks, and tools.

Deliverables: Unless otherwise agreed in writing, ownership of custom deliverables will be transferred to you upon full payment, whilst we retain the right to use generalised learnings and anonymised insights.

4. CONFIDENTIALITY

Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This obligation survives termination of services.

5. FEES AND PAYMENT

Fees are specified in individual service agreements. Payment terms are typically net 30 days unless otherwise agreed. Late payments may incur interest charges.

6. WARRANTIES AND DISCLAIMERS

We warrant that services will be performed in a professional manner consistent with industry standards. However, AI solutions are provided "as is" and we make no guarantees regarding specific outcomes, performance metrics, or results.

7. LIMITATION OF LIABILITY

To the maximum extent permitted by law, AUREXA 9's total liability for any claims arising from services shall not exceed the fees paid for the specific services giving rise to the claim. We are not liable for indirect, consequential, or punitive damages.

8. DATA PROTECTION

We process personal data in accordance with our Privacy Policy and applicable data protection laws including GDPR, CCPA, and Hong Kong PDPO.

9. TERM AND TERMINATION

Either party may terminate services with written notice as specified in the service agreement. Upon termination, you must pay for all services rendered up to the termination date.

10. GOVERNING LAW

These Terms are governed by the laws of Hong Kong. Any disputes shall be resolved through arbitration in Hong Kong.

11. CHANGES TO TERMS

We reserve the right to modify these Terms at any time. Continued use of services after changes constitutes acceptance of modified terms.
